Manaaement - The following procedures govern the commitment of

funds to biomedical research and the role of various individuals
and authorities in considering requests and granting approvals:
Requests f.or funding support will he referred to Dr.
Frederick Seitz.
Dr. Seitz and other mEmbers of his advisory panel will
review fund requests and prepare recommendations based on
these criteria:
* Project viability
* Researcher's qualifications
* Adequacy of facilities
* Consistency with overall program objective
Prior to presentation to the Contributions Committee for
disposition, Dr. Seitz will informally discuss recom-
mendations with Mr. H.C. Roemer, general counsel. His
comments will be appended to the written evaluations and
recommendations presented to the Contributions Committee.
Mr. Roemer would be free, of course, to consult outside
counsel, such as Ed Jacob, as he deems necessary or
desirable.
e Twice each year, at the 2nd and 4th quarter meetings of
the Contributions Committee, Dr. Seitz or a member of his
panel will present funding requests and the panel's
recommendations. Research targets of opportunity may be
presented to the Committee at other times with the per-
mission of the chairman. Dr. Seitz's presentation of
each new request to the Committee will include:
* Assessment of scientific merit
* Recommended budget
* Time frame of the project
* Recommendation for or against approval
Contribution Committee gives approval or disapproves.

Program Monitorinq and Oversight - Program monitoring will be
accomplished by means of written reports and si te visits.
Written semi-annual reports frorn researchers will tx-, reviewed by
the Director of Corporate-Contributions and be distributed to
appropriate persons for review, comment or other action. The
Director of Corporate Contributions will also establish and
schedule a program of site visits by small delegations
representing the Contributions Committee of the Board, the
scientific advisory panel, inside and outside counsel and
appropriate Industries executives.
A site visit to each supported program will gen.:rally be
scheduled once each year by a delegation of two or three persons.
Following each site visit a report will be prepared by the
delegation and furnished to the Director, Corporate Contribu-
tions for appropriate distribution. Such reports will be made a
part of the file for a particular project and will be used in
preparing progress reports for the Contributions Committee of the
Board.
Persons scheduled for site visits will be drawn f rom the
following:
Directors of

Inside and outside counsel
Vice President and Group Director,
Relations Corporate Public
Officers of subsidiary cumpanies as de5ignated by th~:-
Chairman of the Contributions and Men bership Com,mitt-~e
Director, Corporate Contributions
The Chairman and CEO, the President and the Vice Chairman of the,
Board may, at their discretion, join the delegation in any site
visit.
