Special Note Regarding Founders' Stock

would be willing to sell at this time, the founders `considered a number

The present holdings of founding common stock have not participated in
any of the substantial recent transactions in the company's stock. The
founders (principally Drs. Cape, Farley, and Glaser) may be willing, at
this time, to sell some of their founding stock to,purchasers of stock
from the company, or to other purchasers. In determining how much they
amount up to 40% of their holdings, they intend, in any event, to retain
in value manyfold during the remainder of their productive lives. For
this reason, while they are interested in considering the advantages to
Cetus, to themselves and to prospective purchaser(s) of selling any
ferred stock already sold to Standard Oil by_-the original investors (61%
of the stock tendered), the percentage of common stock sold to Standard
Oil by the second round investors (42% of the stock.tendered) and the
percentage of common stock'sold to Natiorial Distillers by the groups
associated with founders Alafi andWard who are no-longer connected with
management (close to 100% of their shares). Another significant issue
is the substantial, but clearly minority and non controlling interest in
Cetus now held by each of two--~very-Aarge companies.

On the other hand, Drs. Cap , Farley;- and Glaser, while interested in
some immediate liquidity,'_'have`no significant assets aside from their
--investment in and commitment to'Cetus, and fully expect this to increase
no less than 60% of their holdings for the longer term.
