REGZONAL BUDGET REQUEST PROCESS ~arl~ Ju~e Worksheets for regional office budgets and state resources are sent to Regional Vice Presidents. Worksheets require: (1) estimates for current-year spending; and (2) requests for next-year budgets for each office account and for allocated resources. Additional documents will also be required to support budget requests, including lobbyist evaluations, wholesaler evaluations, and preliminary plans for major mobilizations. Budget worksheets and supporting documents are returned to Sector Vice President by established deadline, and copied for Senior Vice President and SAD budget analyst. Budget estimates and requests are reviewed by SAD headquarters staff and discussed in detail with Regional Vice President. Revisions are made and requests are compiled. Earl? september Estimates and requests are submitted to Accounting Department for input to TI budget reporting system. Mid-September SAD's budget estimates and requests are reviewed by TI President and Senior Vice President-Administration. Any necessary revisions are made by SAD staff. October-Novembe; Proposed TI budget is reviewed by Management Committee and Finance Committee. Eazl7 December TI budget is reviewed by Executive Committee. Upon approval, regional office and allocated support budgets are forwarded to Regional Vice Presidents. Contracts for next year are mailed to lobbyists. Mid-December All expenditures for current year must be submitted to SAD headquarters for processing and payment by Christmas. Budget authority is not carried between calendar years. TH1450185

December 10, 1993 Dear 2-: This letter Agreement, when executed, confirms that The Tobacco Institute has retained 3- to represent it in connection with legislative, regulatory and administrative matters during calendar year 1994 in the State of 4-. Your responsibilities as consultant to The Institute will be to represent The Institute before state legislative, regulatory and administrative bodies on all issues of interest to the tobacco industry; to report to The Institute on all such legislative, regulatory or administrative actions, including bill introductions, hearings and votes, and proposed regulations and other administrative actions; in limited instances, at The Institute's request, to furnish incidental assistance in Federal legislative or administrative matters; to attend national and regional meetings sponsored by The Institute; to register as The lnstitute's representative and file reports as required by state law, send copies of such reports to The lnstitute's Vice President, 5-, and to advise The Institute on its reporting responsibilities as a lobbyist employer; and to provide other services as mutually agreed. In addition, your responsibilities include providing a report to The Institute no later than December 10, 1994, regarding the portion of your compensation from The Institute during 1994 that is attributable to lobbying activities as defined in section 162(e) of the Internal Revenue Code. Attachment A to this letter includes a form for making this report and guidelines for filling out the report. This information is needed by The Institute in order to comply with federal income tax laws. 5-~ The lnstitute's Vice President for your region, will_s~up_e~rvis_e_.7~our activities in connection with this Agreement. You should make oral and written reports to The Institute through 6-. 7- is responsible for coordinating tobacco industry legislative, regulatory and administrative activities in the State of 4- and will assist you in developing plans and other strategies to deal effectively with industry issues. December 10, 1993 Page Two As compensation for these services and responsibilities, The Institute will pay you at the rate of $8- for the year. This fee represents full payment for all services rendered over the entire 12 months of 1994, as well as for expenses incurred, including office expenses, entertainment expenses, and travel expenses within the State of 4-. The Institute will pay your fee on or about January 15, April 15, July 15, and October 15, reflecting services rendered and expenses incurred during each quarter of the year. The Institute's accounting office will make these payments automatically; invoices do not need to be submitted for these payments. In addition, The Institute will reimburse you for out-of-state travel expenses incurred at The Institute's request. It is the intention of the parties to this Agreement that the services rendered hereunder and the payments made therefor are not in any way contingent upon the defeat or enactment of any legislative, regulatory or administrative proposal. Either The Institute or 3- may terminate this Agreement by giving sixty (60) days prior written notice to the other party. It is agreed that you will advise The Institute in advance of any other clients or business activity which could present a conflict of interest or appearance thereof. Any and all information provided to you by The Institute, whether orally or in writing, shall be held by you, and by your employees, agents and colleagues, in strictest confidence and should not be revealed to any other persons, firms or organizations, without the permission of The Institute. No aspect of the representation shall be discussed with any other persons, firms or organizations by you, or by your employees, agents or colleagues, without the permission of The Institute. Your obligation to maintain the confidentiality of information described in this paragraph will survive the termination of this Agreement.
