I am please to inform you that the State Activities Division and Public Affairs Division of the Tobacco Institute have approved The O'Connor Company proposal entitled "Wisconsin Leaf Growers and Tobacco Dealers" dated October 17, 1994. This Wisconsin program is funded for calendar year 1995 in the amount of $24,000.

I am please to inform you that the State Activities Division and Public Affairs Division of
the Tobacco Institute have approved The O'Connor Company proposal entitled
"Wisconsin Leaf Growers and Tobacco Dealers" dated October 17, 1994. This Wisconsin
program is funded for calendar year 1995 in the amount of $24,000.
Your responsibilities to The Institute will include development and maintenance of a list
of Wisconsin tobacco growers. This list is the property of The Tobacco Institute and will
be activated only at the request of The Institute. You will also be responsible for
preparation of communication materials for possible dissemination to persons on this list.
Allen M. Shofe and Daniel J. Wahby, Vice Presidents for The Tobacco Institute, will
supervise your activities in connection with this program. You should make reports to
The Institute through AI Shofe on state programs and through Dan Wahby on local
programs. In addition, The Institute must clear any documents, reports, mail pieces, etc.
before releasing to the public.
As compensation for these services, The Institute will pay you at the rate of $24,000 for
1995. This fee represents full payment for all services rendered in 1995, as well as for
expenses incurred, including office expenses, entertainment expenses and travel
expenses within the State of wisconsin. The Institute will pay your fee in four equal
quarterly installments on or about February 15, May 15, August 15, and November 15.
Please submit an invoice to Dan Wahby of The Tobacco Institute for each quarterly
payment. Any additional costs, as described in the fees section, points 2 and 3, of the
"wisconsin Leaf Growers and Tobacco Dealers" proposal, will be negotiated separately.
In addition, The O'Connor Company will provide The Institute, no later than December 10,
1995, a report regarding the portion of your compensation from The Institute during 1995
that is attributable to lobbying activities as defined in section 162(e) of the Internal
Revenue Code. Attachment A to this letter includes a form for making this report and
guidelines for completing the report. This information is need by The Institute in order to

comply with federal income tax laws.
