NORMAN D. EINZIGER, being duly sworn, deposes and says:
1. That he is a Vice-President of Advertising Distributors
;of America Incorporated ("ADA"), 400 Madison Avenue, New York,
New York, and is familiar with his operations and records.
2. ADA received from Chemical Bank New York Trust Company
1Proxies, in the form attached hereto as Exhibit A, for use at
the 1968 Annual Meeting of Stockholders of P. Lorillard Company
'(the "Company"), stencilled with names and addresses said to be
.;those of the holders of the Company's Common Stock at the close
f business on February 20, 1968.
3. He caused to be mailed, by First Class Mail, to each
addressee of one of such Proxies, the following documents:
(a) the Proxy stencilled with the name and address of such
addressee; (b) a business reply envelope, in the form attached
hereto as Exhibit B; and (c) a copy of Notice of Annual Meeting
of Stockholders and Proxy Statement for Annual Meeting of Stock-
holders, in the formm attached hereto as Exhibit C; by
(i) causing the documents referred to under (a)
and (b) above to be inserted in an envelope, a form of
which is attached hereto and marked Exhibit D,

above to be inserted in an envelope, a form of which

(iii) causing such envelopes to be firmly attached

United States Post Office in the County of Nassau, Town
of Hicksville, State of New York, on March 1, 1968.
