THCMAS KELLY, being duly sworn deposes and says:-
I am twenty-one years of age and upwards and am a clerk in the employ of
the Mailing Department of Chemical Bank New York Trust Coamany.
On the 24th day of February 1960, about 6:00 P. M.
Eastern 3tandard Time, there were deposited in the Church Street Station of
the New York Post Office, securely sealed postpaid envelopes addresses to each
of the holders of Common and Preferred Stock of P. Lorillard Company as of +
record February 17, 1960, at their respective addresses as shown by the +
records maintained by Chemical Bank New York Trust Company, in each of which

was enclosed one copy of the Annual Report of P. Lorillard Company for the I

year 1959. ~
On the 26th day of February, 1960 about 6:00 P. M. ~
Eastern Standard Time, a Notice of Annual Meeting of Stockholders of P. ,
Lorillard Company to be held April 5, 1960, Proxy Statement, dated February
!
26, 1960, and Proxy to be voted at such meeting, Letter from the Chairman of !
the Board dated February 26, 1960 and a Business Reply Envelope, were mailed
to all holders of Common and Preferred Stock of P. Lorillard Company of
record at the close of business February 17, 1960, by depositing in the
Church Street Station of the New York Post Office, securely sealed postpaid
envelopes addressed to such Common and Preferred stockholders at their
respective addresses as shown by the records maintained by Chemical Bank New
York Trust Company.
