Annual Meeting of Stockholders of P. Lorillard Company to be held April 8,
1958 and Proxy Statement.
EXHIBIT "B", hereto attached is a copy of Proxy to be voted
at such meeting.

On the 27th day of February 1958 about 6:00 P.M. Eastern
Standard Time, a combined Notice of Annual Meeting of Stockholders of P.
Lorillard Company to be held April 8, 1958 and Proxy Statement, Proxy to be
voted at such meeting, the Presidents letter to Shareholders, A Business
Reply Envelope (in the forms of Exhibits "A", "B", "C" and "D") were mailed
to all holders of Common and Preferred Stocks of P. Lorillard Company of
record at the close of business February 20, ]958 by depositing in the
Church Street Station of the New York Post Office, securely sealed, postpaid
ennelopes addressed to such stockholders of P. Lorillard Company at their
respective addresses as shown by the records maintained by The New York
Trust Company.
