You shall also have the right, at reasonable intervals, to audit payments to invoices, and other reasonable reviews you deem necessary, without prior notice to Donnelley. 11. II. UPDATING VENDOR FILE Flow Chart Ref. A) CRT Operator will access redeemer data base (i.e. ~,~ vendor file) using the invoice Zip Code and/or the Ua Redeemer account number. The following information will appear on the CRT screen: 1. Vendor account code (redeemer number) 2. Name and address of Vendor 3. Possible suspect code (See II D) If further information is needed, the CRT Operator can request vendor activity (i.e., last vendor activity date). ~-/ 9 /~~ V B) If the vendor is not listed on the data base, the . invoice and coupons are given to the Information and Review Department for further handling. A questionnaire is sent to the retailer requesting detailed business information. If no answer is received from the retailer in 30 days, a follow-up questionnaire is sent. If, after the second 30 days no answer is received, the invoice is marked as "suspect" and not paid. The invoice and coupons are stored for t.\ approximately two years. C) If the retailer returns the completed questionnaire, the information is reviewed by the appropriate management personnel, the vendor is entered into the data base, and the invoice is processed for payment. q. B) Flow Chart Ref. A control sheet is made by the CRT Operator. It has space to list the sequence numbers ir)the batch, and all operators initial throughout the rest1of the process. C V. SEPARATION OF INVOICES AND COUPONS A) At this point, the invoices are separated from the coupons and each is processed independently. All correlation between the invoice and the actual coupons~ is lost \. VI. PROCESSING A CLEARING HOUSE INVOICE A) If a clearing-house invoice is being processed, the following additional steps are performed; A"Programmable Operator" is given headslips. (Ueadslips are summary slips prepared by the clearing houses listing coupon count, face value and retail store.) This Operator verifies that the headslip total agrees to the total per the clearing house invoice. A tape is made combining all similar value coupons by count. This total is then compared to the total ~ invoice. B) The invoice, along with the tape from the headslips, is forwarded to the CRT Operator. The CRT Operator enters the sequence number-to access the vendor request, and then enters all extensions (coupons X face value). VII. ON-LINE EDIT A) The computer will then compare the total amount of the extensions with the "Amount Card". B) If the Amount Card and Extension Card agree, the vendor is marked for payment on the computer by the CRT ~ Operator.

For each retailer redemption request submitted to Donnelley, the Clearinghouse must have on file on its premises, and available for Donnelley inspection, agreements with each said retailer authorizing the Clearinghouse to act as its coupon redemption agent. The written authorization from the retailer client must contain the signature of the retailer, date of authorization, and the retailer's address location. The authorization must also include the following clause in all retailer agreements (or will be included within 90 days of this agreement): , , "By Execution of this agreement, the retailer does appoint and constitute the Clearinghouse as its agent to receive all said payments due from manufacturers-upon redemption of said coupons, and does release.and discharge the paying manufac- turer and/or the manufacturer's agent from any and all liabil- ity by reason of making said payments to the clearing house." 8. The Clearinghouse's redemption methods shall not at any time in Donnelley's sole judgment, in any way make possible, condone or encourage improper coupon acquisition, handling and/or redemption. Donnelley, on behalf of the manufacturer, reserves the right to refuse payment for any coupon or coupons where it has reason to believe that there has been improper redemption by the redeeming retailer or the Clearinghouse, or that coupons have been received, handled and/or redeemed other than strictly in accordance with the terms stated on the coupon and as covered herein. 9. The Clearinghouse accepts reasonable responsibility for policing improper redemption requests from its retailer clients. This responsibility includes reviewing coupons submitted by the retailer to the Clearinghouse to insure that these coupons do not include any that are gang cut, mint condition, fraudulently printed or not other- wise properly redeemed in accordance with the manufacturer's terms of the coupon offer. 10. The Clearinghouse will use its best efforts to expedite the forwarding of coupons redeemed from its retailer clients to Donnelley. 11. Coupons mailed or shipped to Donnelley are to be addressed to the P.O. Box shown on the coupon, Elm City, N.C. 27898, SEPARATED BY RETAILER AND HANDLED IN SUCH A WAY THAT THE COUPONS OF EACH RETAILER IN EACH SHIPMENT CAN BE SEPARATELY IDENTIFIED BY RETAILER'S NAME AND COMPLETE ADDRESS QUANTITY OF COUPONS BY FACE VALUE, AND DOLLAR VALUE. 12. The Clearinghouse will not seek reimbursement of insurance costs from Donnelley on coupons mailed or shipped to Donnelley in excess of the minimum rate at which such - insurance can be obtained from a reputable insurance carrier. 13. The Clearinghouse will keep confidential all statistical information relating to the redemption of coupons by the Clearinghouse. 14. The Clearinghouse shall at all times keep in effect a comprehensive dishonesty, dis- appearance, and destruction insurance policy with limits adequate in Donnelley's opinion to insure proper accounting for all coupons or other items of value that may be handled. Proof of such insurance is to be submitted to Donnelley at any time upon request.

It is requested that the clearing house submit a balance sheet or a similar financial statement to Donnelley at their request for the purpose of confirming that the clearing house's financial resources are adequate and secure. - 16. This agreement will terminate immediately upon occurrence of any of the following: . sale or other disposition of the Clearinghouse business or assets of the Clearing- house; change in ownership or control of the Clearinghouse; voluntary or involuntary bankruptcy of the Clearinghouse; filing by the Clearinghouse for reorganization under the Bankruptcy Laws; or any assignment by the Clearinghouse for the benefit of creditors. The Clearinghouse will advise Donnelley immediately of the occurrence of any such event. 17. The Clearinghouse shall perform all coupon accounting and make all payments based on such accounting from its established place of business, and shall not at any time pick up and pay for coupons at retail stores. 18. This agreement may not be assigned or transferred by either party without the prior written permission of the other party. 19. This agreement may be terminated by either party without cause on thirty (30)days prior written notice to the other party. 20. As used herein, the words "coupon" or "coupons" refer only to store coupons issued and payable by their terms. 21. The Clearinghouse shall identify the retai9ers for whom it is submitting coupons, their respective quantities, and value so that proper payment can be made. III. PROCESSING AN INVOICE Flow Chart Ref. A) Once correct vendor data is located on the CRT, a sequence number is assigned by the computer. This sequence number is written directly on the invoice. 7 The CRT Operator then enters the following information: 1. Total money being requested by the vendor 2. Total coupons in request 3. Postage refund requested by vendor 4. Insurance number 5. Invoice number This information is retained in a computer file called the "Amount Card". If this information is not discernable (slip of paper with no break-down of the request) at this stage, it is sent to processing (step IV), and the information is later ente`~d into the system, before the "Extension Card" (Step VII) is entered. IV. SoT:T BY VALUE A) A Processing Clerk performs the following: i Invoices are verified by sorting and counting the coupons by face value. The clerk performing this invoice verification also checks the coupons for nisredemptiony°;gang cut, mint condition, consecutive serial numbers, and uniformly wrinkled. Any exceptions (misredemptions) are forwarded to the Processing Contioller. If the clerk finds a small variance (± $5.00) when verifying the invoice the clerk will correct the coupon count. The Prorate Summary report and the Payment Edit report are combined into a Value Code Summary. A) All misredemptions are marked as exceptions, and retained in a separate file until the end of the month. At the end of the month, misredemptions are included in the Exception Report.

C) SPECIAL CHECKS Flow Chart Ref. There are times that Special Checks must be issued by Donnelley. A special check is a check that is not processed through the EDP system. It is manually walked through the steps. The payment is later entered into the EDP system and shows up on the check register as an "out-of-sequence" check. A special check may be issued for the following reasons: 1. A vendor is taken off the exception report and must be paid immediately. 2. Lorillard tells Donnelley to pay the vendor immediately. 3. Certain Clearing-houses must be paid within 15-30 days of invoice date. D) A control sheet summarizing all pertinent information (number of checks issued, number of coupons redeemed, total amount paid to vendors by checks) is prepared by the Accounting Department for each weekly check register. At the end of the month all weekly control sheets are summarized to a monthly control sheet. IX. COU[ITING OF COUPONS A) Coupons which are sorted by face value (step IV) are~~ further sorted by the Code number imprinted on the (/yl coupons. Coupons are counted by code through a weighing process (1 lb. of Code 585 coupons = 1185 coupons). The result of the weight count is indicated ~ on a coupon sample. All samples remain in tact for further processing. The weighed coupons are then compacted and subsequently destroyed (shredded and mulched). I

Donnelley Coupon Redemption Services is located in Elm City, N.C. and is solely responsible for all Lorillard coupon redemption activities. Donnelley will adhere to the procedures as stated in this manuel. All deviations from any of the procedures must be first approved by Lorillard. This manuel will supercede all manuels prior to this date of June 1, 1981. A date is placed on all submissions when received. 2. Retailer is checked on the redeemer data base (CRT) to determine if this retailer is active, new or suspect. 3. Name & address will be verified before coupons go to the team. 4. Suspect submissions will be sent to team supervisor for special handling. . 5. First time redeemers will be sent questionnaire. (attachment C) and coupons will be held at Donnelley until completed questionnaire is returned. Submissions are processed by face value as follows after retailer is found to be an active redeemer and not on the suspect list. 1. Invoices are verified by number of coupons submitted multiplied by the value of the coupon. 2. Coupons are sorted by value at the redemption stations. 3. Coupons will then be sorted by code and counted for report. 4. Invoices are given a six digit sequence number for accounting purposes. 5. The invoices are keyed and edits are run to stop errors not found by m the redemption team. LO ~ 6. Checks will be written for all cleared invoices. W ~ 7. Types of Reports Issued 1- Redemption Report - issued monthly 2 - Exception Report - issued month}y 3 - Statistical Report- issued monthly 4 - Check Registers - issued weekly Lorillard issues coupon codes by job numbers. A job number is identification for a code or group of codes with the same value, media type and same issue date. The redemption Report is sorted by brand and job number within the brand. The Statistical Report shows accumlative activity by job number. It is sorted by brand and job number within the brand. Lorillard Exception Report Procedures 1. Eliminate all accounts over one year old and with only one submission. 2. Qualified submissions under $50 and not accompanied by an invoice will be paid and Donnelley will prepare coupon work sheet. 3. Qualified submissions over $50 not accompanied by an invoice will be handled by Donnelley's information and Review Section. The retailer will be sent a letter (attachment A for his signature of reconciliation. The work sheet will be sent with 2 copies and self- addressed postage paid envelope. When a signed copy is sent back the payment procedure will commence. After 30 days, if a letter of reconciliation is not received a follow up attachment A letter (attached) is sent. If there is no answer to the follow-up letter this submission will be held until challenged. If challenged an attachment "A" letter is sent for reconciliation. 4. All submissions containing "Sequencially numbered" coupons will be placed on report until challenged. Sequencial numbering will be determined if a submission has four or more coupons in numbered order. 5. Submissions under $25 that appear "gang cut", "mint" or"washed & dried" will be paid and sent form letter B. Donnelley will keep this letter on file and only send notice once. This retailer will not be put on the exception report but will be designated with an "L" in the computer. If a retailer has been sent a form letter and submits qualified coupons he is to be paid.
