January 12, 1944 A regular meeting of'the Executive Committee of'P. Lorillard Company was held today at the office of' the Company, 119 West 40th Street, New York City. Hopewell Todd Wool Mr. Hummel, Chairman, presided, and the Secretary acted as Secretary of' the meeting. On motion duly made and seconded, the reading of the m.inutes of the previous meeting, was dispensed with. On motion of' Mr. Freeman,, seconded by Mr. Whitefieid,, it was unanimously RESOLVED: That the Guaranty Trust Company, of New York, Trustee under Indenture dated October 1, 1943, be and it is hereby authorized and empowered to certify, issue and deliver to National Life Insurance Company, Montpelier, Vt., one registered 20-Year 3% Debenture, without coupons, due October 1, 1963',, in the principal amount of $543,000, inexchange for Temporary 3% Debentures of like principal amount.
