April 7', 1943' A regular meeting of the Ekecutive Committee of P. Lorillard Company was he1.d! today at the office of the Cbmpany, 119 West 40th Street, New York City. There were present Messrs.: G. H. Hummel H. G. E. W. F. J. L. A. Kent D. Whitefield S. Bowli:ng J. Halley Hopewell T. Keel E. Clemens, Asst. Secretary Mr. Hu;mmel, Chairman, presided and~the Assistant Secretary acted'as Secretary of' the meeting. On motion duly made and seconded, the reading of the minutes ofthe previous meeting was dispensed with. On motion of Mr. Hopewell, seconded by Mr. Keel, it was unanimously RESOLVED: That the action of'the President and the-Treasurer of'this Company in renewing,on April 5, 1943',, on behalf of'thi:s Company,, the loan made January 4, 1943, from the Chemical Bank and Trust Companyy- 165 Broadway, New York City, in thee sum of'One M'illion Dollars ($1,000,000),, and in executing and delivering in the name of this Company its promissory note evidencing said debt,,bearing,date of April 5, 1943, and payable at said bank ninety-two (92) days from said1date, with interest at the rate of 1-21% per annum from said date, be and the same hereby is in all re- spects approved, ratified, and'confirmed. Whitefield and Todd Wool, or either of them, to vote at the-annual meeting of stockholders of Federal Tin Company held on March 26, 1943, all of the stock of that Company which this Company is entitled to vote,, be and the same hereby is in all respects approved, ratified, and con- firmed. Estimate #5 of' Lennen & Mitchell Inc. dated April 2, 1943 covering adver- tising of BEECH.-Ni1T' Chewing Tobacco iniThe Sporting News, during the 1943 season, at a cost of $2,833.50. Estimates of J. Walter Thompson Company as follows: #109 Supplement B dated March 24, 1943, covering radio advertising of'OLD GOLD Cigarettes as therein set out, March 29' through June 27', 1943', at a cost of'$14,950. #125 Supplement C' dated March 24, 1943, covering radio advrertising, of' OLD GOLDi Cigarettes in Cleveland,, Columbus, Steubenville and Youngstown, Ohio, April 1 through April 30',, 1943', at a cost of $575'., #142 dated April 1, 1943 covering radio advrertising of'qLD GOLD Cigarettes over Station WJJD, Chicago,, Illinois, as therein set out, at a cost of' $10,,0b2'. 50 .
