On motion duly made and secondledy the reading,of'the minutes of the previous meeting was dispensed wi;th. On motion of Mr. Hopewell, seconded by Mr. Keel, it was unanimously RESOLaED: That the action of the proper Officers of this Company in executing and issuing a proxy or power of attorney to G.D~ IIhitefield and W.J. Halley, or either of them, to vote at the annual meeting,of'stockholders of P. Lorillard C'om- pany, a Delaware Corporation, on February 9, 1943, all of the stock of that Company which this Company is entitledi to vote, be and the same hereby is in all respects approved, rati.fied,, andi confirmedl.
