There were present Messrs.: G. H. Hummel H. A. Kent. G. D. VlPhhitefielid W . J. Halley J. S. Freeman J. J. Driscoll! F. Hopewell J. T. Keel T. L. Perkins, Asst. Secretary The Chairman~of'the Board presided and the Assistant Secretary acted as Secretary of'the meeting. Onmotion duly made and seconded, the reading of the minutes of the previous.meeting,was dispensed'.with. On.motion of Mr. Kent, seconded by Mr. Halley, it was unanimously RESOLVED: That the action of' the Officers of' this Company in Withdrawing, $400,000 face value U.S. Treasury Notes of Tax Series B' from the Treasury of' the Company at the Guaranty Trust Company of New York, 140 Broadway, New York City, for the:purpose of'using,said tax notes to make pay- ment on account of 1941 Uffnited States Income Taxes of the Company, be and the same is hereby approved, ratified, and confirmed in all respects. On motion of Mr. Kent, seconded by Mr. Driscoll, it was unanimously RESOLVED: That the employment of'william A. Schienk Jr. as assis- tant cost clerk at the Louisville Branch, at a salary at the rate of 9_k25 per week, ef'f'ective March 3, 1942, be and the same hereby is in all respects approved, ratified, and confirmed. unanimously On motion of Mr. Halley, seconded'by Mr. Hopewell, it was RESOLVED: That the following,employments of'salesmen, as listed below, with the authorization of'the Sales Dept. and the approval of G.D.
