Keel The Secretaryr On motion duiy made and seconded, the reading,of the minutes of the previous meeting v:as dispensed with. unanimously On motion of Mr. Freeman, seconded by 1dr. 4V'hitefield, it was RESOLVED: That the action of the proper Officers of this Company in executing and issuing ai proxy or power of attorney to Todd Wbol and W. J. Halley, or either of them,, to vote at the annual meeting,of'stockholders of P. Lorillard Company, aiDel~:aware Corporation, on February 10, 1942, all of' the. stock of that Company which this Company is entitled to vote, be and the.same hereby is in all respects approved, ratified, and confirmed.
