In the absence of Mr. Hummel, Chairman,, Mr. Kent, President, presided,
and the Secretary acted as Secretary of the meeting.,
On motion duly made and secondled,, the reading of tY1e minutes of the prey
vious meeting was dispensed:1 with.
On motion of'Mr. Halley, seconded by Mr. Driscoll, it was unanimously
RESOLVED: That the action of the Officers of'this Company in with-
dravring $300,000 face value U.S. Treasury Notes of Tax Series B'from the Treasury
of the Company at the Guaranty Trust Company of'New York, 140 Broadway, New York
City, for the purpose of using said tax notes to make payment on account of 1941
United States Income Taxes of'the Company, be and the same is hereby approved,,
ratified, and confirmed in all respects.
On motion of Mr. Bowling, seconded by Mr. Hopewell, the following adver-
tising expenditures were in all respects approved, ratified, and confirmed:
Contract dated September 1, 1942 for a page advertisement of Company products in
the journal for the Seventh Annual Banquet of the New York Retail Tobacco Council
I!nc., to be held October 10, 1942, at a cost of $500.
Contract dated September 2, 1942'for a page advertisement of C'ompany products in
the convention booklet of`the O1tJ.ahoma Association of'Tobacco Distributors Inc..
at a cost of $100.
Contract dated September 10, 1942 with Harry M. Stevens Inc. for a page advertise-

ball games to be played at Yankee Stadium, New York City, at a cost of $200,
