90 April 17, 1942 A regular meeting,of the Board of Directors of P. Lorillard Company was held today at the office of the Company,, 119 West 40th Street,,Nex York City.. There were present Messrs.: G. H'. H'ummel H. A. Kent G. D. Whitefi'el!d E. S* Bowling, W. J. ?ialley F. Hopewell. J. T. Keel J. J. Drisco]11i Buford Scott Todd Wool The Chairman of the Board presided and the Secretary acted as Secre- tary of the meeting. On motion duly made and' second'ed, the reading, of the minutes of' the previous meeting was dispensed with.. On motion of' Mr. Bowling,, seconded by Mr., Hbpe-xe11, the f'ollowingg advertising expenditure was in all respects approved, ratified, and confirmed:, Contract dated April 7, 1942'for a full page OLD GOLD' Cigarette advertisement in the De Luxe Journal to be published in connection withithe Russian Relief Concert and Ball to be held April 17, 1942' at the Hotel Commodore, New York City„ at a cost of' $250. The Secretary laid before the meeting proposed renewal dated. April 17, 1942, of'lease dated July 26, 1934 from the Company to the City of New Yoric, acting by and through the Board of Education of' said City, of pre- mises located at 1334 York Avenue, New York City, N.Y., for a period of five years beginning November 1, 1942, at an annua7l rental of $57,500 for the first three years and at an annual rental of $48,000 for the next two years,, payablee monthly at the end of'each month, with privilege of cancellation by the City of New York at the end' of' the third or fourth year upon six months' prior written notice tothe Company of its intention so to cancel, all as more fully set forth in said lease andithe said'renewal thereof, and unanimously On motion of Mr. Bowling, seconded by Mr. Hopewell, it was RESOLVED: That the renewal deted April 17, 1942 of said lease dated July 26, 1934 from this Company to the City of' New York of' the premises 41334 York Avenue, New York Ci.ty,, N.Y., on the terms and condiitions therein set f'orth, be and th~e same is hereby ratified',, approved'., and confirmed in all re- spects and the proper Officers of the Company are hereby authorized to execute and deliver said renewal of lease and~to do all things necessary or advisable to comply with the terms and condit3ons thereof. On motion duly made and seconded, the meeting,adjourned. Secretary
