WWASHINGTON, D..C:.20006 - (202) 331-0787 CERTIFIED MAIL RETURN RECEIPT REQUESTED I, Ernest Pepples, Esq. .General Counsel Brown & Williamson Tobacco Corporation 1600 West Hill Street 'Louisville, Kentucky 40201 Dear Ernie: Please find;enclosed' three copies of the Harvard Smoking and Health Research Program Extension Agreement executed by the Harvard Medical School. I am sending copies of this letter to all interested persons so that they will know that the agreement has been executed by Harvard. I am not sending them copies of the agreement since I will distribute copies later after all signatures have been subscribed. I am enclosing with all copies of this .letter copies of letters from Dr. Rab}:in related to the ownership, use and custody of equipment and indirect costs and cover letter from Henry Meadow transmitting the executed extension agreement (all d'ated February 8, 1977). 03,?48923 It is my opinion that the extension agreement may noww appropriately be executed by the grantors. I suggest that we "go down the line." After your company executes the agreement, it can, be forwarded to Ligg, ett & Meyers Incorporated for execution and forwarding to Lorillard, and so forth. Since the Institute meeting at Innisbrook commences February 23, it may be that most signatures can be obtained while we are there together. This would mean that whoever has the agreement in hand when time for the meeting arrives. shouldibring the copies to the nieeting.

. SHOOt(, HARDY & BACON Ernest Pepples, Esq. February 14, 1977 Page Two r Execulta:on of the agreement has the follo;aing, financial implications:/(1) Harvard Medical School may now request payment of additional'funds in the amount of $147,0'00 for the purpose of supporting a pr.ogram of analytical tobacco smoke chemistry; (2) Harvard Medical School may now request a further additional sum in the aggrCagate amount of $75,000 to help support teaching~and clinical training and to meet, in part, identifiable institutional costs; and' (3) the first semi-annual payment under the extension agreement will become payable July 1. Thank you for your patience with regard to this matter. I am particularly indebted to Horace Kornegay and Dr. Huber for their considerable assistance. I should note that Dr. Rabkin's letter with regard to indirect costs uses the words "other indirect costs" rather than "other miscellaneous costs," but recommend we not make an issue of this. Dr. Huber has advised me that he expects a press release to be issued by the Harvard Medical School in accordance with his suggestions. Best personal reegards- Sincerely, . . William W.
