Abstract
In this deposition before the Department of Insurance and CNA Insurance Company, Laurence Tisch, Chairman and CEO of Leows Corporation (the parent company of Lorillard Tobacco) answers questions about the cuirous merger of Loews Corporation with CNA. Questioners wondered about the inherent contradiction of a corporation owning both a tobacco company and a health insurance company. In the question session, Tisch claims his company is the "leader in the so-called health cigarettes" and claims that his company makes cigarettes that are "healthier than others."
"Lorillard was the leader in the so-called health cigarettes, the low tar, the low nicotine cigarettes. They first introduced Kent with the micronite filter ten or fifteen years ago. It was a very successful entry because that was when the health scare first came into vogue." [Bates Page No. 91780375]
HISTORICAL NOTE: The Kent Micronite Filter was made of asbestos, and people who smoked it have gotten mesothelioma, the hallmark cancer of asbestos exposure.
Tisch further claims there is no contradiction in owning a tobacco company while also owning an insurance company that encourages health and smoking cessation. In fact, in the deposition Tisch makes fun of the notion (to the laughter of others in the room). From the transcript:
Q. The Hearing Officer asked you a question that I would like to follow up on a little bit. He asked you whether you saw any inconsistency between being in the insurance business and being in the tobacco business, and you gave quite a bit of testimony about the health scare, what it was and, you know, how the health--in connection with Lorillard's acquisition you mentioned that, and I want to ask you why you think that there is nothing inconsistent between being in a tobacco business, particularly a tobacco business that is made up, I think you testified, of almost a hundred percent of the sale of cigarettes, and controlling a company which is in health, accident and life insurance?
A. Well, that is interesting. I think that statistics show that 90 percent of all accidents take place in the home, and yet Larwin is one of the biggest home builders in America.

HEARING OFFICER FOX: Have you not put yourself in a position where it would never be possible for CNA to offer, or any other insurance subsidiaries to offer lower insurance rates for non-smokers?

A. There will be absolutely no connection whatsoever between the policies of CNA and our being in the tobacco business. If low premiums are the order of the day for non-cigarette smokers, CNA certainly will be in it...

A. If there is an industry effort to dissuade people from smoking and CNA is part of the industry effort, CNA would continue to be part of the industry effort.
Q. If it became apparent that it would be wise for CNA's insurance companies to try to discourage smoking, you would do nothing to stop that kind of an effort, is that correct?

In 1968 Loews took several major steps
in implementation of its divcrsification program.
After having acquired 1,000,000 shares of
Commercial Credit Company, Loews made a registered
exchange offer*for the balance of the Commercial
Credit shares. Following the Loews.offer,
.Control Data Corporation made a competing offer
at a substantially higher price. Loews decided
not to engage in a contest with Control Data and
disposed of its holdin3s at a profit of more than
$30,000,000.

a transaction in which the Lorillard shareholders
received Loews' securities then valued at
$465,000,000. As a result of the Lorillard merger,
Loews entered the ranks of the billion do11a'r

and net worth of $260,000,000. For the f iscal

1969 marked the entry of Loews into
residential development through a joint venture
with J. li. Snyder Company and further expansion of
the theatre and hotel operations. Loews operations
continued to be highly profitable and careful
asset management during the three years prior to

The Century Circuit acquisition agreement expired

Century Circuit acquisition. As to the Gimbel

the cost of carrying the Gimbel investraent are
considered, Loews, which owned 1,657,800 shares
of Gimbel and sold them to the competing offeror
did not make a profit on the Gimbel investment.

Today Loews is engaged in production
and sale of tobacco .products; owning, leasing and

Canada, Europe and the Caribbean; exhibition of
