As you know, Debevoise & Plimpton is attorney for the Council for
Tobacco Research--U.S.A., Inc. ("CTR") in a number of pending smoking and health
lawsuits. This letter is to confirm our conversation by telephone on Tuesday, February
18, 1997.
You have agreed to meet with us to provide us with your analysis of
certain aspects of the research performed by Microbiological Associates, lnc. ('MAI')
under contract with CTR. We understand that your standard consulting fee is $1,000
per day. We have agreed to compensate you for your time in meeting with us, and any
other time you may spend reviewing documents at our request, on that basis. We have
agreed that your time will be calculated in half-day increments, a half-day equaling
four hours.
The purpose of your services will be solely to provide analysis of the
research performed by MAI for CTR. CTR has no present intention of calling you as a
witness in any proceeding and is not aware of any other party planning to seek your
testimony. This agreetnent does not pertain in any way to any testimony you may give
or any time you may spend in preparation for the giving of such testimony.
