I have reviewed: the one page draft from the VdC descrt,bing the purpose of the
VERUM Foundation. Ulrich, I~ am concerned that: the formal legal documents
pertaining to the VERUM Foundation; (the-Deed: and Foundation Charter) both=
have sections on the purpose of the Foundation but neither mentions "smoking
and health" directly nor do they mention, the words "nicoti;ne", "environmental
tobacco smoke" or '~:)bacco plant". The sections of both the Deed and the
Foundation Charter that describe the purpose of the Foundation are certainly
worded in a general enough fashion to encompass all of the research fields
related to smoking and health and tobacco plant development; however, because
neither the Deed nor the Foundation Charter in any way refers to smoking and
health subjects directly I would: be more comfortable if the one page draft ~'eated
by the VdC describing the purpose of the Foundation was changed so as to not
ovedy emphasize research topics directly related to smoking and health.
My primary concern is that the general language in the VERUM Deed and
Foundation Charter could be viewed as misleading to, the extent they give no
specific indication of the true nature of the research contemplated, i.e. smoking
and health related research. I certainly hope that the Bavadan authorities
understood that the purpose of the Foundation was to fund, at least in part,
research directly related: to smoking and health topics. It could very well be that !
do not appreciate that the.formal documents need only describe the purpose of
the Foundation in the broadest manner and that such a general description is a
perfectly acceptable practice. Obviously, it .is clear from the Deed and Foundation
Charter that the VdC is establishing the VERUM. Foundation;.therefore:, it should

be obvious to all that one of its purposes will be to sponsor smoking and health
related, research.
I do recognize that the one page draft from the VdC describing the purpose of the
Foundation is generally consistent with the language we developed in July for the
VdC Research, Concept document and, to this extent I have only a few minor
• suggestions regarding the Vd;C draft. If the VdC draft describing the purpose of
the Foundation is intended; for public consumption we may be pllacing too much
emphasis on: research directly related to smoking: and health questions when
compared tothe descriptions of the purpose of the Foundation as included in the
Deed and Foundation Charter.
